Studio Primary · Version 2026-09-24 · Effective 24 September 2026
These Terms of Service (the "Terms") govern access to and use of the Studio Primary software platform available at https://app.innertags.com and every related application, interface, API, email and service (together, the "Service"). Read them carefully. By ticking the acceptance box, creating a workspace, or using the Service, the Customer agrees to be bound by these Terms, the Privacy Policy and the Data Processing Agreement, which together form the "Agreement".
1. Parties and definitions
1.1 The Service is provided by Studio Primary, trading as Studio Primary, registered with the Dutch Chamber of Commerce (KvK) under number 82701237, VAT number NL003719360B48, with its registered address at Eindhoven, The Netherlands ("Provider", "we", "us"). Contact: info@studioprimary.com.
1.2 In these Terms:
- "Customer" or "you" means the business, agency or other organisation that creates a workspace on the Service, and on whose behalf the Agreement is accepted.
- "Authorised User" means an individual whom the Customer invites to or allows into its workspace (employees, contractors, freelancers).
- "Workspace" means the Customer's separated environment in the Service, including its settings, credentials, users and data.
- "End Client" means any third party (typically a client of the Customer's agency) whose business, websites, advertising accounts or data the Customer manages through the Service.
- "Customer Data" means all data, content, files, images, credentials, instructions and other material that the Customer, its Authorised Users or its End Clients upload, connect, enter or cause the Service to collect, including data retrieved from Connected Services.
- "Output" means any text, image, video, analysis, score, verdict, recommendation, proposal, report, plan or other material generated by or with the Service, including by artificial intelligence.
- "Connected Service" means any third-party platform, API or service that the Customer connects to or uses through the Service, including Google (Ads, Analytics, Search Console, Tag Manager, Business Profile, Merchant Center), Meta, LinkedIn, Reddit, Microsoft Bing, OpenRouter and the AI model providers reached through it, email servers (SMTP) and any other provider.
- "Fees" means the fees agreed for the Service, if any, as set out in an order, quotation, plan description or in-app price.
- "Personal Data", "Controller", "Processor" and "Processing" have the meanings given in the General Data Protection Regulation (EU) 2016/679 ("GDPR").
2. Scope, business use only and formation of the Agreement
2.1 The Service is offered exclusively to businesses and professionals acting in the course of their trade, business, craft or profession. It is not offered to consumers. By accepting these Terms, the Customer represents and warrants that it is not a consumer and that it accepts the Agreement for business purposes.
2.2 The individual who accepts the Agreement on behalf of the Customer represents and warrants that they are authorised to bind the Customer. If they are not, they are personally bound by the Agreement to the fullest extent permitted by law, and they indemnify the Provider for any loss resulting from the lack of authority.
2.3 The Agreement is formed when the Customer (through an authorised person) accepts these Terms electronically in the Service. Acceptance by ticking a box and clicking a button is an electronic signature within the meaning of Article 3:15a of the Dutch Civil Code and Regulation (EU) No 910/2014 (eIDAS). The Customer agrees that this form of acceptance is sufficiently reliable for the Agreement.
2.4 These Terms apply to the exclusion of any general terms and conditions of the Customer, which are expressly rejected (Article 6:225(3) of the Dutch Civil Code). Deviations from these Terms are valid only if agreed in writing by the Provider.
2.5 These Terms were made available to the Customer before or at the conclusion of the Agreement, electronically, in a form that can be stored and reproduced, and a copy is emailed to the accepting person after acceptance (Articles 6:233 and 6:234 of the Dutch Civil Code). Every version remains available at https://app.innertags.com/legal.
2.6 Order of precedence. In case of conflict: (1) a written order or agreement signed by both parties, (2) the Data Processing Agreement (for the Processing of Personal Data only), (3) these Terms, (4) the Privacy Policy, (5) documentation and in-app descriptions.
3. The Service
3.1 The Service is a software platform for marketing agencies. It helps plan, generate, analyse, measure and manage marketing activities, including advertising campaigns, keywords and search terms, content, social media, email, search engine optimisation (SEO), answer-engine and AI visibility (AEO), websites, tracking and reporting. Features may be added, changed or removed at any time.
3.2 The Service is a tool, not an agency. The Provider does not provide marketing, advertising, legal, tax, financial or other professional advice, does not act on behalf of the Customer or its End Clients, and does not manage any advertising account. All decisions made with or based on the Service are the Customer's own.
3.3 Changes to Connected Services require the Customer's action. The Service proposes changes (for example adding keywords, negative keywords, budgets, bids, ads or content) through an approval step. Changes are made in a Connected Service only after an Authorised User approves them, or where the Customer has itself enabled an automation or "auto mode" setting that allows the Service to execute defined changes without individual approval. The Customer is solely responsible for every approval and every automation setting it enables, and for all consequences thereof, including advertising spend.
3.4 Best effort. The Provider will use reasonable efforts to make the Service available and to perform it with care. The Provider's obligations are obligations of effort (inspanningsverplichtingen), never obligations of result (resultaatsverplichtingen). No specific availability, response time, uptime, result, ranking, traffic, conversion, return on ad spend or other outcome is promised unless expressly agreed in a signed written service level agreement.
3.5 Maintenance. The Provider may temporarily suspend or restrict the Service for maintenance, updates, security measures or to prevent harm, where possible with prior notice. Such interruptions do not entitle the Customer to any compensation.
3.6 Beta and experimental features. Features marked as beta, preview, experimental, "coming" or similar are provided without any warranty and may be changed or withdrawn at any time.
4. Workspace, accounts and security
4.1 The Customer is responsible for all activity in its Workspace, including every action of its Authorised Users, whether or not authorised by the Customer, and for ensuring that each Authorised User complies with the Agreement.
4.2 The Customer shall keep login details, passwords, API keys, developer tokens, OAuth grants and other credentials confidential and secure, use strong passwords, assign roles (viewer, editor, approver, admin) appropriately, promptly remove access for people who no longer need it, and notify the Provider without delay at info@studioprimary.com of any suspected unauthorised access.
4.3 The Provider may rely on any instruction, approval or action given through an account in the Customer's Workspace as having been given by the Customer.
4.4 The Customer shall provide accurate information and keep its Workspace details (including its agency profile, time zone, country and billing details) up to date.
5. Connected Services and third parties
5.1 The Service interoperates with Connected Services that are operated by third parties. The Customer's use of each Connected Service is governed by the terms, policies and pricing of that third party, including the Google Ads API Terms and Policies, the Google API Services User Data Policy, Google Ads advertising policies, Meta's Platform Terms and Advertising Standards, LinkedIn's API terms, Reddit's terms, and the terms of OpenRouter and of each AI model provider. The Customer shall comply with all of them.
5.2 The Customer's own credentials. Where the Customer connects its own accounts or supplies its own keys (for example a Google sign-in, a Google Ads developer token, a Meta or LinkedIn app, an SMTP server or an AI provider key), it does so as its own customer of that third party. The Customer is solely responsible for obtaining and maintaining those accounts, approvals and access levels, and for all fees and usage costs charged by those third parties.
5.3 Authority over End Client accounts. The Customer represents and warrants that, for every End Client account, property, website, container, listing, feed, audience or data set that it connects to or processes through the Service, it has obtained all authorisations, mandates and consents required from the End Client and from any other rights holder, and that the Customer's instructions to the Service are within that authority.
5.4 No responsibility for third parties. The Provider does not control Connected Services and is not responsible or liable for their availability, accuracy, security, changes, pricing, rate limits, quotas, approvals (including developer token access levels, API access approvals and Business Profile access), suspensions, disapprovals, policy decisions or account closures, nor for any data they provide or fail to provide. If a Connected Service changes or ceases its interface or terms, the Provider may change or discontinue the related functionality without liability.
5.5 Platform-provided AI access. Where the Provider, at its discretion, makes AI access available to a Workspace through its own account (instead of the Customer's own key), such access may be limited by allowances, caps, models and fair-use rules set by the Provider, may be changed or withdrawn at any time, and remains subject to the terms of the underlying AI providers.
6. Artificial intelligence and Output
6.1 The Service uses artificial intelligence, including large language models and image and video models provided by third parties, as well as deterministic rules and statistical calculations. Output may be inaccurate, incomplete, outdated, biased, offensive, infringing or unsuitable for its intended purpose, may resemble output generated for others, and may vary between runs. Verdicts, scores, forecasts, diagnostics and recommendations are estimates based on available data and assumptions; they are not guarantees.
6.2 Human review is required. The Customer shall review, verify and, where necessary, correct all Output before using, publishing, sending or acting on it, including verifying every factual claim, price, offer, statistic, testimonial, comparison, legal statement and trademark use in advertising copy, content, emails and social posts. Features that check claims, evidence or quality reduce but do not eliminate these risks.
6.3 The Customer is responsible for the use of Output, including compliance with advertising law and codes (including the Dutch Advertising Code (Nederlandse Reclame Code), the Unfair Commercial Practices rules in Articles 6:193a–6:193j of the Dutch Civil Code, and comparable laws of every country in which Output is used), platform advertising policies, intellectual property law, image and portrait rights, consumer protection law, and sector-specific rules (for example on health, financial, alcohol, gambling, political or medical communications).
6.4 AI transparency. Where Regulation (EU) 2024/1689 (the "AI Act") or any other law requires that content generated or manipulated by AI is disclosed or labelled (including deep fakes and AI-generated text published to inform the public), the Customer, as the deployer publishing that content, is responsible for making the required disclosures. The Customer shall not use the Service for any practice prohibited under Article 5 of the AI Act, or for any high-risk use listed in Annex III of the AI Act.
6.5 Rights in Output. As between the parties, and to the extent any rights exist, the Customer owns the Output generated for its Workspace, subject to the rights of third parties and of the AI providers. The Provider makes no representation that Output is protected by intellectual property rights, is original, or does not infringe third-party rights.
6.6 AI providers and model training. Output is generated by third-party AI model providers, reached through OpenRouter. Whether a provider may store data sent to it, or use it to improve or train its models, depends on that provider's own data policy and on the data-policy settings of the OpenRouter account used: the Provider's account where the Workspace uses platform AI access (Article 5.5), or the Customer's own account where the Customer uses its own key. No undertaking is given that data sent for AI processing is excluded from training or retention by AI providers. A Customer that requires this should use its own OpenRouter key with model training and data retention disabled in its OpenRouter settings, or ask the Provider which settings apply to platform AI access, and should not submit data for AI processing that it does not accept being handled under those settings.
7. The Customer's responsibilities and acceptable use
7.1 The Customer is solely responsible for Customer Data: its accuracy, quality, legality, and the lawfulness of collecting, uploading and processing it, including all images, logos, texts and other materials it uploads, and for having the rights and consents needed to use them.
7.2 Email. The Customer is solely responsible for all email sent through the Service or its own SMTP server, including obtaining and documenting valid consent or another legal basis for electronic marketing (including under Article 11.7 of the Dutch Telecommunications Act (Telecommunicatiewet) and the ePrivacy rules of other countries), honouring unsubscribes and objections, identifying the sender, and the contents of every message.
7.3 Websites and scanning. Features that scan, crawl, render or analyse websites (including competitors' websites, search results and public pages) retrieve publicly accessible information at the Customer's instruction. The Customer is responsible for ensuring that its use of such features, and of the information obtained, is lawful and respects the rights of the website owners, including intellectual property rights, database rights and applicable terms of use. The Customer shall only install scripts, tags or code supplied by the Service (such as managed SEO tags) on websites it is authorised to modify.
7.4 The Customer shall not, and shall ensure that no Authorised User will:
- (a) use the Service in breach of any law or regulation, or of any right of a third party;
- (b) use the Service to create, send or publish unlawful, misleading, defamatory, discriminatory, hateful, harassing, pornographic, violent or otherwise harmful material, spam or unsolicited messages;
- (c) upload or transmit viruses, malware or other harmful code;
- (d) gain or attempt to gain unauthorised access to the Service, other workspaces, the Provider's systems or any Connected Service, or probe, scan or test the vulnerability of the Service without the Provider's prior written consent;
- (e) circumvent or interfere with security, authentication, rate limits, usage caps, allowances, approval steps or tenant separation;
- (f) copy, modify, reverse engineer, decompile or disassemble the Service, except to the extent that mandatory law (including Article 45m of the Dutch Copyright Act) expressly permits this;
- (g) scrape, extract or systematically download the Service or its data other than through the export features offered;
- (h) resell, sublicense or make the Service available to third parties as a stand-alone product, other than to serve the Customer's own End Clients as part of the Customer's own services;
- (i) use the Service to develop a competing product, or to benchmark it for publication without consent;
- (j) place an excessive or unreasonable load on the Service;
- (k) use the Service for any person or entity subject to sanctions of the European Union, the United Nations, the Netherlands or the United States, or in any sanctioned territory.
7.5 The Provider is not obliged to monitor Customer Data or Output, but may investigate suspected breaches, remove or disable material, and take any measure it reasonably considers necessary to comply with law, protect third parties or protect the Service.
8. Fees and payment
8.1 Where Fees apply, the Customer shall pay them as agreed. Unless otherwise stated, Fees are exclusive of VAT and other taxes, are payable in advance, and invoices are payable within fourteen (14) days of the invoice date.
8.2 If the Customer fails to pay on time, it is in default without notice and owes the statutory commercial interest (Article 6:119a of the Dutch Civil Code) and all extrajudicial collection costs. The Provider may suspend the Service until full payment is received.
8.3 Costs charged by third parties (including AI usage, advertising spend, API fees and Connected Service subscriptions) are borne by the Customer and are not part of the Fees, unless expressly agreed otherwise.
8.4 The Provider may change its Fees with at least thirty (30) days' notice. If the Customer does not accept a change, it may terminate the Agreement with effect from the date on which the change takes effect.
8.5 Fees paid are non-refundable, except where mandatory law provides otherwise or the Provider expressly agrees in writing.
9. Intellectual property
9.1 All intellectual property rights in and to the Service, its software, code, design, databases, models, prompts, rule sets, documentation, trademarks and all improvements and derivatives are and remain vested exclusively in the Provider or its licensors. Nothing in the Agreement transfers any such right to the Customer.
9.2 Subject to compliance with the Agreement and payment of any Fees, the Provider grants the Customer a non-exclusive, non-transferable, non-sublicensable, revocable right, for the duration of the Agreement, to use the Service for its own business purposes and to serve its End Clients.
9.3 The Customer retains all rights in Customer Data. The Customer grants the Provider a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, transmit, display and adapt Customer Data to the extent necessary to provide, secure, support and improve the Service, to comply with law, and to exercise its rights under the Agreement.
9.4 The Provider may create and use anonymised and aggregated information derived from the use of the Service that does not identify the Customer, its End Clients or any individual, to operate, secure and improve the Service.
9.5 Suggestions and feedback about the Service may be used by the Provider freely and without any obligation to the Customer.
9.6 The Customer may use Output without attribution to Studio Primary. The Provider will not name the Customer as a customer in its marketing without the Customer's prior consent.
10. Confidentiality
10.1 Each party shall keep confidential all non-public information received from the other party that is designated as confidential or should reasonably be understood to be confidential, and use it only to perform the Agreement. This obligation does not apply to information that is or becomes public without breach, was already lawfully known, was independently developed, or must be disclosed by law or order of a competent authority (in which case the disclosing party shall, where lawful, give prior notice).
10.2 This obligation survives termination of the Agreement for five (5) years.
11. Data protection
11.1 With respect to Personal Data contained in Customer Data, the Customer is the Controller (or a Processor on behalf of its End Clients) and the Provider is the Processor (or sub-processor). The Data Processing Agreement, available at https://app.innertags.com/legal/dpa, forms part of the Agreement and applies to that Processing.
11.2 With respect to Personal Data of Authorised Users and business contacts that the Provider processes for its own purposes (such as account management, security, billing and communications about the Service), the Provider is the Controller, as described in the Privacy Policy at https://app.innertags.com/legal/privacy.
11.3 The Customer is responsible for informing its Authorised Users, End Clients and data subjects as required by law, and for having a valid legal basis for all Personal Data it causes the Service to process.
12. Security, backups and data
12.1 The Provider takes appropriate technical and organisational security measures, as described in the Data Processing Agreement. No system is completely secure, and the Provider does not warrant that the Service is free of vulnerabilities, errors or interruptions.
12.2 The Provider makes backups for its own continuity purposes only. The Service is not a backup or archiving service. The Customer is responsible for keeping its own copies of Customer Data and Output that it needs, using the export features offered.
13. Warranty disclaimer
13.1 To the fullest extent permitted by law, the Service and all Output are provided "as is" and "as available", without any warranty, representation, guarantee or condition of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose, accuracy, completeness, non-infringement, uninterrupted or error-free operation, compatibility with Connected Services, or that any result (including rankings, traffic, leads, conversions, sales, cost savings, return on ad spend or AI visibility) will be achieved.
13.2 The Customer acknowledges that online advertising, search rankings and AI answers depend on factors outside the Provider's control, including auctions, algorithms, competitors, platform decisions and market conditions.
14. Limitation of liability
14.1 The Provider's total aggregate liability arising out of or in connection with the Agreement and the Service, whether in contract, tort (onrechtmatige daad), statutory duty, indemnity or otherwise, is limited to the amount of Fees actually paid by the Customer to the Provider in the twelve (12) months preceding the event giving rise to the liability, and shall never exceed EUR 5,000 in total. If no Fees were paid in that period, the Provider's total aggregate liability is limited to EUR 100.
14.2 The Provider is never liable for indirect or consequential loss, including: loss of profit, revenue, turnover, sales, customers, contracts, goodwill or reputation; wasted, lost or unwanted advertising spend or media costs; costs of campaigns, bids, budgets or keyword changes approved or automated by or for the Customer; missed savings; loss, corruption or unavailability of data; business interruption; fines, penalties or sanctions imposed on the Customer or its End Clients by any authority or platform; account suspensions or disapprovals by Connected Services; claims of End Clients, Authorised Users or other third parties; and damage arising from the use of or reliance on Output.
14.3 The Provider is not liable for any damage caused by: (a) Connected Services or other third parties, including AI providers and hosting providers; (b) the Customer's instructions, approvals, automation settings, credentials, Customer Data or Output as used by the Customer; (c) the Customer's failure to comply with the Agreement or with law; (d) any use of the Service contrary to its documentation; (e) force majeure.
14.4 The limitations and exclusions in this Article 14 do not apply to damage caused by intent or deliberate recklessness (opzet of bewuste roekeloosheid) of the Provider's own management, nor to any liability that cannot be limited or excluded under mandatory law.
14.5 A condition for any right to compensation is that the Customer notifies the Provider in writing of the damage as soon as possible, and in any event within thirty (30) days after discovering it. Any claim against the Provider lapses twelve (12) months after the event giving rise to it, unless legal proceedings have been initiated before then.
14.6 The Provider can only be in breach (in verzuim) after the Customer has given a written notice of default that describes the failure as completely and specifically as possible and grants a reasonable period of at least thirty (30) days for remedy, and the Provider still fails to perform after that period.
14.7 The limitations in this Article 14 also apply for the benefit of the Provider's owners, directors, employees, contractors and suppliers, who may invoke them directly (third-party clause, Article 6:253 of the Dutch Civil Code).
15. Indemnity
15.1 The Customer shall indemnify, defend and hold harmless the Provider and its owners, directors, employees and contractors from and against all claims, demands, proceedings, fines, penalties, losses, damages, costs and expenses (including reasonable legal fees) of third parties — including End Clients, Authorised Users, data subjects, supervisory authorities, platforms and rights holders — arising out of or in connection with: (a) Customer Data; (b) Output as used, published or sent by or for the Customer; (c) the Customer's use of the Service or of Connected Services; (d) any breach of the Agreement or of law by the Customer or its Authorised Users; (e) any Processing of Personal Data instructed by the Customer; (f) any advertising, email, content or other communication made by or for the Customer or its End Clients.
16. Force majeure
16.1 Neither party is liable for failure to perform caused by force majeure (Article 6:75 of the Dutch Civil Code). Force majeure includes, in addition to its statutory meaning: failure, outage, change or discontinuation of Connected Services, AI providers, hosting, data centres, internet or electricity; changes to third-party APIs, terms or policies; cyber attacks, denial-of-service attacks and malware; government measures; epidemics; war; strikes; and failures of the Provider's suppliers.
16.2 If a force majeure situation lasts longer than sixty (60) days, either party may terminate the Agreement in writing without any obligation to pay compensation.
17. Term, suspension and termination
17.1 The Agreement is entered into for an indefinite period, or for the period stated in an order, and continues until terminated.
17.2 The Customer may terminate the Agreement at any time with effect from the end of the then-current paid period, or, if no Fees apply, at any time. The Provider may terminate the Agreement with at least thirty (30) days' written notice.
17.3 The Provider may suspend access to the Service, in whole or in part, with immediate effect and without liability, if: (a) the Customer breaches the Agreement or law; (b) payment is overdue; (c) the Provider reasonably suspects misuse, a security risk, or harm to the Service, other customers or third parties; or (d) required by law, a court, an authority or a Connected Service.
17.4 Either party may terminate the Agreement with immediate effect in writing if the other party materially breaches the Agreement and fails to remedy it within fourteen (14) days of written notice, or if the other party is declared bankrupt, applies for a suspension of payments, is dissolved or ceases its business.
17.5 After termination, access to the Service ends. The Customer may request an export of its Customer Data in a common machine-readable format within thirty (30) days of termination. After that period the Provider will delete Customer Data, subject to the retention periods in the Privacy Policy and the Data Processing Agreement, and backups will be overwritten in the normal backup cycle. Records of acceptance of the Agreement, invoices and audit records are retained as described in the Privacy Policy.
17.6 Provisions that by their nature are intended to survive termination survive it, including Articles 6, 9, 10, 13, 14, 15, 17.5 and 19–22.
18. Changes to these Terms
18.1 The Provider may change these Terms, the Privacy Policy and the Data Processing Agreement. Every version is published at https://app.innertags.com/legal with its version date and document fingerprint.
18.2 Material changes will be announced at least thirty (30) days before they take effect, through the Service and/or by email, unless a change is required sooner by law, by a Connected Service, or to address a security risk. The Service may ask Authorised Users to accept the new version before continuing to use it.
18.3 If the Customer does not agree to a change, it may terminate the Agreement before the change takes effect. Continued use of the Service after a change takes effect, or accepting the new version in the Service, constitutes acceptance of the change.
19. Evidence
19.1 The Provider keeps electronic records of the acceptance of the Agreement, including the identity of the accepting user, the Customer on whose behalf they accepted, the exact version and text accepted (identified by its SHA-256 fingerprint), the statement confirmed, date and time (UTC), IP address and browser information. The parties agree that these records, as well as the Provider's system logs and audit records, constitute full evidence (dwingend bewijs) of their content between the parties, subject to proof to the contrary by the Customer.
20. Communications
20.1 The Provider may send notices relating to the Agreement by email to the Customer's workspace administrators, or through the Service. The Customer shall send notices to info@studioprimary.com.
20.2 The Provider may send the Customer's Authorised Users service, security, transactional and account emails. These are part of the Service and are not marketing.
21. Miscellaneous
21.1 Assignment. The Customer may not assign or transfer its rights or obligations under the Agreement without the Provider's prior written consent. The Provider may assign or transfer the Agreement, in whole or in part, to an affiliated company or to a successor of its business, including in the event of a transfer of the Service or its business, and the Customer hereby consents in advance (Article 6:159 of the Dutch Civil Code).
21.2 Subcontracting. The Provider may engage third parties to perform the Agreement, subject to the Data Processing Agreement for sub-processors.
21.3 Severability. If any provision is void or voidable, the remaining provisions remain in force, and the parties shall replace the provision with a valid provision that approaches its purpose as closely as possible (Article 3:42 of the Dutch Civil Code applies correspondingly).
21.4 No waiver. Failure to enforce a right does not waive it.
21.5 Entire agreement. The Agreement constitutes the entire agreement between the parties regarding its subject matter and supersedes all prior proposals, statements and agreements.
21.6 Language. These Terms are drafted in English. If a translation is provided, the English version prevails.
21.7 Independent parties. Nothing in the Agreement creates a partnership, joint venture, agency or employment relationship.
22. Governing law and disputes
22.1 The Agreement and all non-contractual obligations arising out of or in connection with it are governed exclusively by the laws of the Netherlands. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.
22.2 All disputes arising out of or in connection with the Agreement shall be submitted exclusively to the competent court of the District Court of East Brabant (Rechtbank Oost-Brabant), the Netherlands, without prejudice to the Provider's right to bring proceedings before any other competent court.
22.3 Before starting proceedings, the parties shall first make a reasonable effort to resolve the dispute amicably through consultation.
